Change of Ownership

Definition of Change of Ownership

Section 409.901(5), F.S., defines a change of ownership as follows: "(a) An event in which the provider ownership changes to a different individual entity as evidenced by a change in federal employer identification number or taxpayer identification number; (b) An event in which 51 percent or more of the ownership, shares, membership, or controlling interest of a provider is in any manner transferred or otherwise assigned. This paragraph does not apply to a licensee that is publicly traded on a recognized stock exchange; or (c) When the provider is licensed or registered by the agency, an event considered a change of ownership for licensure as defined in section 408.803."

A change solely in the management company or board of directors is not a change of ownership.

The method of reporting Changes of Ownership (51% or more) will depend on your provider type.

  • If you are a Hospital, Skilled Nursing Facility (SNF), or Intermediate Care Facility (ICF), you must submit a Change of Ownership Disclosure Form.
  • All other provider types (excluding Hospitals, SNF, and ICF) must submit a Change of Ownership application via the Online Enrollment Wizard.

 

For changes in ownership of less than 51%, the Medicaid provider shall: Agree to notify the agency of any changes to the information furnished on the Florida Medicaid Provider Enrollment Application, including but not limited to changes of address, tax identification number, group affiliation, or depository bank account. The provider shall report a change in any principal of the provider, including any officer, director, agent, managing employee, or affiliated person, or any partner or shareholder who has an ownership interest equal to five (5) percent or more in the provider to the agency in writing within thirty (30) days after the change occurs. For a hospital licensed under chapter 395, F.S., or a nursing home licensed under part II of chapter 400, F.S., a principal of the provider is one who meets the definition of a controlling interest under s. 408.803, F.S.

Medicaid Provider Agreement

Per section 409.907(6)(a), F.S., Medicaid may revoke a provider agreement, at AHCA's option, when there is a change of ownership of any facility, association, partnership, or other entity named as the provider in the provider agreement.
